Administrator. An administrator appointed to manage the affairs, business and property of the Chargor pursuant to clause 8

The Board or the Committee, as applicable, responsible for conducting the general administration of the Plan in accordance with Section 4 hereof; provided, however, that in the case of the administration of the Plan with respect to awards granted to Independent Directors, the term "Administrator" shall refer to the Board.
