Base Salary. Shall mean the annual base salary in effect immediately prior to the Date of Termination, unless the Covered Executive has resigned for Good Reason following a material diminution in the Covered Executive's annual base salary, in which case the annual base salary immediately prior to such diminution shall be the Base Salary.
