Base Salary. The highest annual rate of base salary payable to Executive by the Company during the one-year period ending on Executive's Date of Termination or, if higher and in connection with a Change in Control Qualifying Termination, the highest annual rate of base salary payable to Executive by the Company during the one-year period ending on the Change in Control.
