Committee

Committee. Means the committee, if any, appointed by the Board from time to time to administer the Plan on behalf of the Company. To the extent that no committee is appointed, the Board shall be deemed to be the Committee.

Committee. Means the Incentive Compensation Subcommittee of the Compensation Committee or such other committee or subcommittee of the Board appointed by the Board from time to time to administer the Plan on behalf of the Company, provided that such committee shall consist of two or more members of the Board.

Committee. Means the committee which administers the Plan on behalf of the Company which: (i) solely with respect to Non-Covered Employees, consists of the chief executive officer of the Company, the most senior executive from the human resources department, the most senior executive from the finance department and any other individual designated by the by the Board; and (ii) solely with respect to Covered Employees who receive Awards that are intended to qualify as performance-based compensation within... the meaning of Section 162(m), consists of the Incentive Compensation Subcommittee of the Compensation Committee or such other committee or subcommittee of the Board appointed by the Board, provided that such committee shall consist of two (2) or more members of the Board. Committee. Means the Compensation Committee of the Board, or such other committee, whether comprised of one or more Board members or executives of the Company, as may be designated by the Board to administer the Plan.

Committee. The Committee established by the Board of Directors pursuant to Section 2 to administer the Plan.

Committee. Means the Compensation Committee as described in Paragraph 4 hereof.

Committee. Means the Compensation Committee of FirstMerit Corporation's Board of Directors which shall consist of three or more directors appointed by such Board. These directors shall be "disinterested persons" within the meaning of Rule 16b-3 of the Securities Exchange Act of 1934.

Committee. Shall mean the Compensation Committee of FirstMerit Board of Directors.

Committee. Means the Human Resources Committee of the Board or a subcommittee thereof that is comprised solely of two or more non-employee directors (each of whom is intended to qualify as an "outside director" within the meaning of Section 162(m) of the Code).

Committee. Means the compensation committee of the Board, unless there is no such committee, in which case it means the Board.
