Committee

Committee. The Benefits Committee of the Company.

Committee. Means the Compensation Committee of the Board or such other committee of the Board as may be designated by the Board from time to time to administer this Plan and which also shall be entirely comprised of independent directors meeting the disinterested administration requirements of Rule 16b-3 under the Securities Exchange Act of 1934 and the 'outside director' requirement of Section 162(m) of the Code.

Committee. The Human Resources Committee of the Board or such other independent Committee of the Board as is designated by the Board to administer the Plan

Committee. The Compensation Committee of the Board of Directors ('Board'), all of whose members shall be disinterested persons. A Committee member shall be deemed to be a disinterested person only if, at the time any discretion is required to be exercised under this Plan, such a person is not, and has not been at any time within one year prior thereto, eligible to receive an Award pursuant to this Plan

Committee. The Compensation Committee of the Board consisting solely of two (2) or more Non-employee Directors

Committee. The Compensation, Nominating and Governance Committee of the Board, or other committee designated by the Board as the "Committee" under the MIP

Committee. The Compensation Committee of the Board of Directors of Valmont ('Board')

Committee. A committee consisting of at least three (3) Disinterested Persons appointed by the Board to administer the Plan and to perform the functions set forth herein.

Committee. The persons administering this Plan from time to time pursuant to Paragraph 6.1.

Committee. Means the administrative committee appointed by the Board in accordance with the provisions hereof.
