Committee

Committee. The Personnel and Compensation Committee of the Board. 1.5.

Committee. Means the Compensation Committee of the Board, which shall consist solely of two or more "Outside Directors" in accordance with Code Section 162(m), or solely of two or more "Non-Employee Directors", in accordance with Rule 16(b)-3 of the Exchange Act. Committee. Means a committee appointed by the Board to administer the Plan. The Committee shall consist solely of two or more persons who are "outside directors" as described in Section 162(m)(4)(c)(i) of the Code and "non-employee directors" as defined in Rule 16b-3 of the Act.

Committee. Means the committee of the Board established from time to time in the sole discretion of the Board to administer the Plan, as described in Section 3 of the Plan. Committee. Shall have the meaning set forth in section 2(g) of The Penn Traffic Company 2006 Omnibus Award Plan (the "Omnibus Award Plan").

Committee. Means a committee of the Board consisting of at least three (3) members of the Board, duly authorized by the Board to administer the Plan, who (i) are not eligible to participate in the Plan, and (ii) are "outside directors" (within the meaning of Code Section 162(m).
