Committee

Committee. Shall mean the compensation committee or any other committee of members of the Board appointed by the Board to administer the Plan and to perform the functions set forth herein. To the extent necessary or desirable, such committee shall be composed entirely of individuals who meet the qualifications referred to in Rule 16b-3 under the Exchange Act.

Committee. Means a committee or committees appointed by the Board in accordance with Section 4(a) of the Plan.

Committee. Means the Board or a committee appointed by the Administrator in accordance with Section 4 hereof.

Committee. Means a committee of [one (1)] or more Directors to whom authority has been delegated by the Board in accordance with Section 2(c).

Committee. Means the committee created and appointed by the Board to administer this Plan, or if no committee is created and appointed, the Board or, to the extent that the Board elects to administer this Plan in whole or in part even if such a committee has been appointed, the Board.

Committee. Means the committee established by the Board pursuant to Section 15 to administer the Plan or, with respect to the administration of Section 10, the Board. If no committee has been established by the Board to administer the Plan pursuant to Section 15, "Committee" means the Board.

Committee. Means a committee of two or more directors designated by the Board to administer the Plan; provided, however, that directors appointed as members of the Committee shall not be employees of the Company or any subsidiary. Initially, the Compensation and Management Development Committee of the Board shall be the Committee hereunder. The foregoing notwithstanding, the term "Committee'' shall refer to the full Board in any case in which it is performing any function of the Committee under the Plan.

Committee. Means the Compensation and Management Development Committee of the Board, or other persons designated by the Board, and shall be comprised of "non-employee directors" as defined pursuant to Rule 16b-3 under the Act. The Board may itself perform any function of the Committee (whether or not a Committee is then designated), in which case references to the "Committee" shall be deemed to also mean the Board.

Committee. Committee means a committee of the Board which shall have at least 2 members, each of whom shall be appointed by and shall serve at the pleasure of the Board and, if at any time the Company desires to exempt issuances within the meaning of Section 162(m) of the Code, each of whom shall be an "outside director" within the meaning of Section 162(m)(4)(C) of the Code.

Committee. Means the Compensation Committee of the Board (or a subcommittee thereof), or such other committee of the Board (including, without limitation, the full Board), to which the Board has delegated power to act under or pursuant to the provisions of this Plan; provided that in the absence of any such Compensation Committee or other committee, the term "Committee" will mean the Board.
