Compensation

Compensation. All regular straight time gross earnings but shall exclude variable compensation for field sales personnel, incentive bonuses, overtime, shift premium, lead pay and automobile allowances and other compensation

Compensation. The aggregate salary and annual bonus paid to a Participant in any Plan Year (including amounts that would have been paid to him but for his election to defer part or all of such amounts under this or any other plan of deferred compensation of the Company) for services rendered as an employee; provided, however, that amounts earned by an employee before becoming a Participant shall be excluded.

Compensation. A Director's Retainer Fee and Stock Award for the Deferral Year.

Compensation. The base salary, straight time gross earnings, overtime, shift premium, cash bonuses and commissions paid to an Employee, including an Employee's portion of any elective deferral contributed on the Employee's behalf to a plan described in Section 401(k) of the Code, any amount excludable pursuant to Section 125 or 132(f) of the Code and any compensation deferral made under the Hexcel Nonqualified Deferred Compensation Plan

Compensation. (i) for nonemployee director Participants, the Retainer Fee and (ii) for key employee Participants, "Compensation" has the same meaning as the term "eligible compensation," as defined in The Manitowoc Company, Inc. RSVP Profit Sharing Plan (the "RSVP Plan") and incorporated herein by this reference, without regard to the dollar limits applied to that definition by Code Section 401(a)(17), and without regard to whether such Participants are eligible to participate in the RSVP Plan.

Compensation. A Participant's fees, payable in cash, for services rendered by a Participant as a Director of the Company. Compensation shall not include any amounts paid by the Company to a Participant that are not strictly in consideration for personal services, such as expense reimbursements

Compensation. The Participant's base pay as reflected on the Company's payroll records, excluding all other types of remuneration such as, but not limited to, Bonus Compensation or any benefits or special allowances

Compensation. An Eligible Employee's base straight time gross earnings, commissions, bonus and other incentive compensation, and payments for overtime

Compensation. Shall mean the regular rate of salary or wages received by the Employee from the Company or a Designated Subsidiary that is taxable income for federal income tax purposes or applicable tax law, but excluding incentive compensation, incentive payments, bonuses, commissions, relocation, expense reimbursements, tuition or other reimbursements or compensation received from the Company or a Designated Subsidiary

Compensation. Means the aggregate amount of retainer and meeting fees paid to a Participant in consideration of his service on boards of the Bank, plus any amount by which such payments were reduced pursuant to the Participant's election under a Deferred Compensation Agreement by and between the Bank and the Participant.
