Compensation. Means Executive's highest base compensation, together with bonuses earned pursuant to the Company and/or Bank's then-existing bonus plan(s), for each of the three most recent calendar years, including the current calendar year. Compensation. Means an Employee's compensation received by an Employee from the Company or a Designated Subsidiary. By way of illustration, but not limitation, Compensation means the regular wages, (i.e. base pay) overtime, commissions, and cash incentives paid to an Employee but excludes disability pay, workers compensation, severance pay, service related cash awards, any amounts which constitute tax gross ups of taxable amounts, and income realized as a result of participation in any stock option, stock... purchase, or similar plan of the Company or any Designated Subsidiary. Compensation. Means the total compensation paid in cash to a Participant including salaries, wages, overtime pay or commission, but excluding bonuses, moving or relocation allowances, car allowances, imputed income attributable to cars, life insurance or other benefits, or other items as determined by the Committee.
Compensation. Means a Participant's annual salary, Bonus and Commission, as applicable.
Compensation. Means, for any Plan Year, the base salary and bonus paid by an Employer to an Employee while a Participant during the Plan Year including contributions by an Employer on behalf of a Participant pursuant to a salary reduction agreement between an Employer and a Participant under Code Section 401(k) or 125, if any.
Compensation. Compensation. Compensation means the Executive's annual rate of salary as in effect when the Executive becomes eligible for initial participation or subsequent increase of plan benefits.
Compensation. Means with respect to a Participant, the portion of the Participant's total cash compensation paid to the Participant by the Company or a Designated Subsidiary during the applicable payroll period.
Compensation. All regular straight-time gross earnings excluding payments for overtime, incentive compensation, incentive payments, bonuses, commissions and other compensation. For Employees paid on a commissions only basis, "straight-time gross earnings" means commissions paid.
Compensation. Shall mean annualized base pay increased by any pre-tax deductions under Code Sections 125 or 402(g).
