Example Definitions of "Compensation"
Compensation. As applied to any Person, shall mean all salaries, compensation, remuneration or bonuses, and all retirement, vacation, insurance or other fringe benefits paid or provided, directly or indirectly, by the Company to such Person or Members of the Immediate Family of such Person.
Compensation. Means all cash compensation including regular straight time gross earnings, commissions, payments for overtime, shift premium, incentive compensation, incentive payments, bonuses and any other compensation approved by the Committee, but excluding proceeds from the sale of the company's stock and all cash allowances including, but not limited to, vehicle, housing and cost of living allowances.
Compensation. Shall mean all compensation other than gain attributable to stock options, including any amounts the participant elects to defer or exclude from income under a deferred compensation plan or an employee benefit plan of the Company.
Compensation. Means, with respect to any Participant, direct cash compensation paid during the calendar year to that Participant by the Company or an Affiliated Entity for services rendered, including salaries, commissions and bonuses, in each case as determined by the Committee, and including any amount which would have been paid to the Participant but for an election under the Savings Plan, or a cafeteria plan under Section 125 of the Code, but excludes any amounts paid from this Plan, income from the... exercise of non-qualified stock options or from the disqualifying disposition of incentive stock options, income 4 realized when restricted stock becomes fully transferable or is no longer subject to a substantial risk of forfeiture, reimbursement for moving expenses and other relocation expenses, mortgage interest differentials, payment for reimbursement for taxes, international assignment premiums, allowances and any other reimbursements. Subject to the foregoing limitations, "Compensation" shall include Compensation from sources within the United States as described in Section 861 of the Code, and Compensation from sources without the United States as described in Section 862 of the Code. Compensation. Regular straight-time earnings, excluding all other amounts such as amounts attributable to overtime, shift premium, on-call premium, incentive compensation, bonuses and commissions (except to the extent that the inclusion of any such item is specifically directed by the Committee), determined in a manner consistent with the requirements of Section 423 of the Code, as provided in paragraph 1 above.
