Disabled. For purposes hereof, the Executive will be considered "Disabled" if an independent medical doctor (selected by the Company's health or disability insurer) certifies that the Executive has for ninety (90) consecutive days or one hundred eighty (180) days in any twelve (12) month period been disabled in a manner which interferes with the Executive's ability, with or without reasonable accommodation, to perform the Executive's responsibilities under the Agreement and/or adversely affects the... operational requirements of the Company's business. Disabled. Any physical or mental condition of a Participant that in the opinion of the Committee renders the Participant incapable of continuing to be an employee of the Company and its Affiliates.

Disabled. The Employee has become permanently disabled within the meaning of, and begins actually to receive disability benefits pursuant to, the long-term disability plan in effect immediately prior to the Change in Control for key employees of the Company and its Subsidiaries.

Disabled. The Employee is disabled and unable to perform the essential functions of his position(s) with or without reasonable accommodation for a period of 180 days (which need not be consecutive) in any twelve (12) month period.

Disabled. A condition due to injury or disease that results in a disability for which the (i) Participant has received a physician's certification of that the disability is a total and permanent disability, or (ii)(a) Participant has received a physician's certification that such disability is expected to last for a continuous period of at least 12 months and (b) the Participant is actually receiving disability payments from the Company or an Affiliate for at least three months.

Disabled. For purposes of this Plan, "Disabled" means any permanent and total disability as defined by Section 22(e)(3) of the Internal Revenue Code of 1986, as amended (the "Code"). The Executive shall be considered Disabled for purposes of this Plan if the Executive is approved for long-term disability benefits under a plan or program maintained by the Company.
