Example Definitions of "Disabled"
Disabled. That you become physically or mentally incapacitated or disabled or otherwise unable to fully discharge your responsibilities to the Company as determined by a physician agreed to by you and the Company. In the absence of agreement between you and the Company, each party shall nominate a qualified physician and the two physicians so nominated shall select a third physician who shall make the determination as to disability.
Disabled. The Grantee's permanent disability and deemed to have occurred after one hundred twenty (120) days in the aggregate during any consecutive twelve (12) month period, or after ninety (90) consecutive days, during which one hundred twenty (120) or ninety (90) days, as the case may be, the Grantee, by reason of his physical or mental disability or illness, shall have been unable to discharge his duties as an employee of the Company. Disabled. Shall mean, with respect to a Participant, that the Social Security Administration has determined that such Participant is totally disabled. This definition shall be construed and administered in accordance with the requirements of Code Section 409A(a)(2)(C) and Treasury Regulations thereunder.
