Example Definitions of "Key Employee"
Key Employee. A "specified employee" as such term is defined under Code Section 409A and the regulations issued thereunder
Key Employee. Means any executive-level employee (including division director and vice president-level positions) as well as any employee or consultant who either alone or in concert with others develops, invents, programs or designs any Company Intellectual Property, and includes at least J. Michael Wolfe, H. MacGregor Clarke, John K. Thompson and Grey Gibbs.
Key Employee. Any key Employee or prospective Employee of the Company having responsibility for planning the Company's operations, controlling or managing its business activities, or advising the management of the Company with respect to its operations and business activities. Key Employee. At any given time, an employee subject to Code Section 416(i) as of August 31 of the prior calendar year as determined by the Plan Administrator.
Key Employee. Means a Participant who at any time during an applicable Identification Period satisfies the definition of key employee set forth in Code Section 416(i), without regard to paragraph (5) of such Code Section (as described below).
Key Employee. A management and/or highly compensated employee of the Employer.
