Example Definitions of "Key Employee"
Key Employee. Shall have the definition ascribed to it under the Purchase Agreement.
Key Employee. And include the president, chief executive officer, chief financial officer, chief operating officer, chief technology officer, and any senior vice president of operations, finance, research, development, or sales or marketing.
Key Employee. A Participant who at any time during the prior calendar year was identified as (i) an officer of the Company with annual compensation greater than $170,000, as adjusted, (ii) a five percent (5%) owner of the Company, or (iii) a one percent (1%) owner of the Company with annual compensation from the Company of more than $150,000, as adjusted, as determined according to the requirements of Code Sections 409A and 416(i) (applied without regard to Code Section 416(i)(5)).
