Key Employee

Key Employee. Any employee of the Company at the level of vice president or above, and any other employee who develops, invents, programs or designs any Company Intellectual Property.

Key Employee. Shall mean an employee who is treated as a "specified employee" under Code section 409A(a)(2)(B)(i), i.e., a key employee of the Company (as defined in Code section 416(i) without regard to paragraph (5) thereof).
