Option

Option. Means a stock option covering Common Stock granted ------ to a Service Provider pursuant to the Plan.

Option. The Alliance Option and/or the Seller Option, described below.

Option. Means the right to purchase, at a price and for the term fixed in accordance with the Plan, and subject to such other limitations and restrictions in the Plan and the applicable Award Agreement, a number of Shares determined hereunder. No Option shall be intended to qualify under Section 422 of the Code. 2

Option. Shall mean the right to purchase one or more shares of Common Stock granted under Section 6 of the Plan.

Option. Shall mean any ISO or NQSO issued pursuant to the Plan.

Option. Shall have the meaning set forth in the third whereas paragraph.

Option. Has the meaning set forth in paragraph 2 herein;

Option. Shall mean the option granted by Peoples Ltd. to Citizens & Northern Corporation under this Agreement.

Option. Means an Option granted pursuant to this Plan. 2

Option. Shall mean any stock option granted pursuant to this Plan, whether an ISO or an NQO.
