Option

Option. Means, when immediately preceded by "ESS", an option to purchase shares of ESS Common Stock pursuant to all ESS stock option plans; when immediately preceded by "Vialta", such term shall mean an option to purchase shares of Vialta Class A Common Stock pursuant to the Vialta, Inc. 2001 Nonstatutory Stock Option Plan.

Option. Any right to purchase Shares granted under the Stock Option Plan.

Option. To receive ten percent (10%) of the Net Proceeds from a Liquidation at an exercise price of One Million Dollars ($1,000,000) (the "Exercise Price").

Option. Means an Employee Option, a Director Option, or either or both of them.

Option. Means an option to purchase Shares under this Plan.

Option. Means the Option granted by Owner to FAS to purchase the Property.

Option. Has the meaning ascribed thereto in clause 5.3.

Option. Means a right granted to an Employee pursuant to the Plan to purchase a specified number of shares of Common Stock at a specified price during a specified period and on such other terms and conditions as may be specified pursuant to the Plan. Options may be granted as Tax Qualified Options or as Options which do not qualify as Tax Qualified Options.

Option. Means the right to purchase from the Company a stated number of Shares at a specified price.

Option. Means any options now or hereafter issued by the Company to purchase Common Stock.
