Proceeds

Proceeds. Means the payments made to any Loan Parties under that certain Agreement dated as of September 26, 2001 between Umbro Worldwide Limited et. al. and Fashions. It is anticipated that the Proceeds will total approximately $8,100,000.

Proceeds. Means the consideration paid upon completion of the Sale as the purchase price for the Small Cap Group, the Company or Hoenig, as the case may be, and the consideration agreed to be paid as additional purchase price therefor in the future.
