Qualified Financing. Shall have the meaning ascribed to such term in the form of Note
Qualified Financing. The sale prior to the Company's IPO of Securities of the Company to investors in a single transaction or a series of related transactions resulting in aggregate cash proceeds to the Company of not less than $1,000,000
Qualified Financing. The first issuance of convertible preferred stock by the Company to investors after the Original Issue Date, with immediately available gross proceeds to the Company (including proceeds from the Bridge Notes and any other indebtedness of the Company that convert into equity in such financing) of at least $10,000,000.
Qualified Financing. The first financing closing after the date hereof, in which Borrower receives financing of at least Ten Million US Dollars ($10,000,000.00) from the third party
Qualified Financing. Qualified Financing shall mean the earlier to occur of an Initial Public Offering or a Mezzanine Financing, as such terms are defined herein.

Qualified Financing. Prior to the Company's IPO, any sales of Securities of the Company to purchasers in any financing after the Date of Grant for the principal purpose of raising capital in an aggregate gross cash proceeds amount not less than $20,000,000 in one transaction or a series of related transactions. For the sake of clarity, the Company's IPO shall not constitute a Qualified Financing.
Qualified Financing. The next sale (or series of related sales) by the Company of Common Stock following the date of this Note resulting in aggregate gross cash proceeds to the Company of at least $7,000,000 (before commissions or other expenses and excluding the value of the Notes that convert at the time of the Qualified Financing)
