Qualifying Termination

Qualifying Termination. The term "Qualifying Termination" means (a) The occurrence of any one or more of the following employment termination events during the Protection Period, shall constitute a "Qualifying Termination": (i) The Company's termination of the Executive's employment without Cause (as defined in Section 1.3); or (ii) The Executive's resignation for Good Reason (as defined in Section 1.7). Qualifying Termination. A termination of Executive's employment (i) by the Company other than for Cause or (ii) by Executive for Good Reason. Termination of Executive's employment on account of death, Disability or Retirement shall not be treated as a Qualifying Termination.

Qualifying Termination. Shall mean the termination of employment or service (i) as a result of the Participant's death or Disability, (ii) by the Company and its Affiliates without Cause, or (iii) by the Participant with Good Reason.

Qualifying Termination. A Separation that is not a CIC Qualifying Termination, but which results from (i) the Company terminating the Executive's employment for any reason other than Cause or (ii) the Executive voluntarily resigning his or her employment for Good Reason. A termination or resignation due to the Executive's death or disability shall not constitute a Qualifying Termination

Qualifying Termination. Means a termination of the Participant's employment (i) by the Company other than for Cause or (ii) by the Participant for Good Reason. Termination of the Participant's employment on account of death, Disability or Retirement shall not be treated as a Qualifying Termination. Notwithstanding the preceding sentence, the death of the Participant after notice of termination for Good Reason or without Cause has been validly provided shall be deemed to be a Qualifying Termination.

Qualifying Termination. Means a termination of the Participant's employment with the Company or a Subsidiary, as applicable, (i) by the Company or a Subsidiary, as applicable, without Cause or (ii) by the Participant for Good Reason. Notwithstanding anything contained herein, in no event shall a Participant be deemed to have experienced a Qualifying Termination (a) if such Participant is offered and accepts a comparable employment position with the Company or any Subsidiary, or (b) if in connection with a Change in... Control or any other corporate transaction or sale of assets involving the Company or any Subsidiary, such Participant is offered and accepts a comparable employment position with the successor or purchaser entity (or an affiliate thereof), as applicable. Qualifying Termination. A termination of Executive's employment during the Termination Period (i) by the Company other than for Cause or (ii) by Executive for Good Reason.

Qualifying Termination. A termination of Executive's employment prior to the end of the Term of this Agreement (i) by the Company other than for Cause; (ii) by Executive for Good Reason; or (iii) upon the date of a Change in Control. Qualifying Termination. Means a termination of employment resulting from (i) a termination by the Company of the Executive's employment for any reason other than Cause, death or Disability, or (ii) a voluntary resignation by the Executive of his or her employment for Good Reason. Termination due to Executive's death or Executive's Disability will in no event constitute a Qualifying Termination.

Qualifying Termination. A termination of the Participant's employment with the Company by the Company without Cause (excluding by reason of death or Disability) or by the Participant for Good Reason.
