Qualifying Termination

Qualifying Termination. A Termination of a Participant's employment or service with a Successor Company and its Subsidiaries without Cause during the period beginning on a Change in Control, and ending on the first anniversary of such Change in Control

Qualifying Termination. Means Executive's Separation from Service during the Special Severance Period due to (i) termination of Executive's employment by EXCO without Cause; or (ii) termination of employment by Executive for Good Reason.

Qualifying Termination. The term 'Qualifying Termination' shall mean any of the following: (i) The Company terminates Executive's employment without Cause during the twelve (12)-month period commencing with the Effective Date; or (ii) Executive voluntarily terminates his employment with the Company for Good Reason (following the applicable notice and cure period requirements specified in Section 6(c)) on or after December 1, 2014, which termination becomes effective during the twelve (12)-month period commencing with... the Effective Date. Qualifying Termination. Either (i) an Involuntary Termination Without Cause, or (ii) a Constructive Termination, in either case that occurs during the 30 day period immediately preceding a Change in Control or the 18 month period immediately following a Change in Control. Termination of employment of a Participant due to death or disability will not constitute a Qualifying Termination.

Qualifying Termination. Means a Participant's Involuntary Termination Without Cause or Change in Control Termination.

Qualifying Termination. A termination of employment with the Corporation, its Subsidiaries and its successors after the date of the Change in Control and, at any time before the second anniversary of such Change in Control, that is either involuntary on your part and does not result from your death or Disability and is not for Cause

Qualifying Termination. Means a termination of the Participant's Continuous Service either (x) by the Company without Cause or (y) by the Participant with Good Reason. Termination of Continuous Service due to the Participant's death or Disability will not constitute a Qualifying Termination. Transferring from the Company to an Affiliate where such transfer does not constitute Good Reason will not constitute a Qualifying Termination. For clarity, if the Participant terminates his or her employment without Good Reason,... and the Company unilaterally accelerates the Participant's date of termination in connection therewith, such acceleration will not result in a termination by the Company without Cause or a Qualifying Termination hereunder. Further, if the Participant is offered an identical or substantially equivalent or comparable position with the Company or an Affiliate, such Participant will not be deemed to have been terminated without Cause. For purposes of the foregoing, a "substantially equivalent or comparable position" is one that provides the Participant substantially the same level of responsibility and compensation. A termination of the Executive's employment either (i) by a Company Group member without Cause (excluding by reason of Executive's death or Disability) or (ii) by the Executive for Good Reason, in either case, during the Change in Control Period (a "Qualifying CIC Termination") or outside of the Change in Control Period (a "Qualifying Non-CIC Termination")

Qualifying Termination. A termination of Executive's employment by the Company (or any of its subsidiaries) other than for Cause, death, or Disability or by Executive due to Good Reason, in either case (i) during the Change in Control Period (a "CIC Qualifying Termination") or (ii) outside the Change in Control Period (a "Non-CIC Qualifying Termination").
