Example Definitions of "Qualifying Termination"
Qualifying Termination. Means the termination of Executive's employment with the Employer, following the Effective Date and prior to the end of the Employment Period, by the Employer other than a Termination for Cause (excluding, for the avoidance of doubt, any termination as a result of Executive's death or Disability).
Qualifying Termination. The termination by the Company of Executive's employment other than a Termination for Cause, but including termination by reason of the Executive's death or disability. The term "Qualifying Termination" shall not include the termination by Executive of his employment, unless such termination is within 30 days of the reduction by the Company of the Executive's annual base salary from its then current amount, other than a reduction which is part of, and proportionate with, a general reduction of... annual base salaries of not less than three-quarters (in number) of the Company's officers. Qualifying Termination. Qualifying Termination. Means (i) the termination by the Company of the Executive's employment with the Company and its affiliates without Cause, or (ii) with respect to the Executives identified on Appendix A as Tier One (1) Executives only, the termination by the Executive of the Executive's employment with the Company and its affiliates for Good Reason.
Qualifying Termination. Means (i) the Company's termination of the Executive's employment during the Termination Period other than because of death, Disability, Retirement or Cause, as provided in Sections 4(b), 4(c) and 4(d) herein, or (ii) the Executive's termination of his employment during the Termination Period for Good Reason pursuant to Section 4(e) herein.
Qualifying Termination. Means a termination of Bowen's employment during the Term following a Change in Control (i) by the Company other than for Cause or (ii) by Bowen for Good Reason. Termination of Bowen's employment on account of death, Disability or Retirement shall not be treated as a Qualifying Termination.
Qualifying Termination. Means any termination of Employee's employment that is not a Nonqualifying Termination.
Qualifying Termination. Is deemed to have occurred for purposes of this Agreement if there is a Change in Control and, within two (2) years after the Change in Control, the Executive's employment with the Company is either involuntarily terminated by the Company without Cause or the Executive terminates employment with the Company for Good Reason
Qualifying Termination. Means a termination of your employment either (i) by SureWest other than for Cause and where your Termination Date occurred during the Protected Period or (ii) by you for Good Reason and where your Termination Date occurred during the Protected Period or within 150 days after the end of the Protected Period. Termination of your employment on account of death, disability or retirement shall not be treated as a Qualifying Termination.
Qualifying Termination. Shall mean your employment is terminated without Cause by the Company or by you for Good Reason (each, a Qualifying Termination).
