Qualifying Termination

Qualifying Termination. After the Effective Date, the Company terminates your employment without Cause or you resign from your employment for Good Reason. For the avoidance of doubt, a termination due to your death or disability is not a Qualifying Termination.

Qualifying Termination. A termination of Executive's employment (i) by the Company without Cause (and not due to Executive's death or Disability) or (ii) by Executive for Good Reason.

Qualifying Termination. A termination of the Executive's employment (i) by the Company without Cause (other than by reason of the Executive's death or Disability), (ii) by the Executive for Good Reason, or (iii) a termination by the Executive for any reason following November 1, 2020 (provided that an event constituting Cause has not occurred and been cured)

Qualifying Termination. (i) an involuntary termination of Executive's employment by CapStar (or any successor to CapStar after the Change in Control) for reasons other than Cause (and other than on account of Executive's Disability); or (ii) a voluntary termination of employment by Executive for Good Reason.

Qualifying Termination. The termination of your employment prior to the Vesting Date (a) by the Company for a reason other than Cause, (b) by you for Good Reason or (c) due to your death or Disability, in each case, if, and only if, you execute (or, in the case of your death, a duly authorized representative acting on your behalf executes) a release in full satisfaction of all claims against the Company Group in such form and substance as may be reasonably prescribed by, and acceptable to, the Company (the 'Release'),... and such Release becomes irrevocable, within 60 days of your date of termination, in which case, the effective date of the Qualifying Termination will be deemed to have occurred on your date of termination (the 'Release Requirement'). Qualifying Termination. Means a Termination of Service by reason of (i) the Participant’s death, (ii) a termination by the Company or any Subsidiary due to the Participant’s Disability, (iii) a termination by the Company or any Subsidiary other than for Cause, (iv) a termination by the Participant for Good Reason, or (v) a termination by the Participant following attainment of his or her Retirement Eligibility.

Qualifying Termination. Termination of a Participant's employment prior to the applicable Trigger Date (as defined below) either (i) by the Company involuntarily without Cause; or (ii) by the Company or its successor in connection with a Change of Control of the Company involuntarily without Cause; or (iii) due to the Company's cessation of business operations.

Qualifying Termination. A termination of the Participant's employment with the Company and its Affiliates on account of (i) the Participant's death, (ii) the Participant's Disability, (iii) the Company's termination of the Participant for a reason other than Cause or Disability or (iv) the Participant's resignation with Good Reason.
