Qualifying Termination

Qualifying Termination. The termination of your employment with the Company (a) by the Company for a reason other than Cause, (b) by you with Good Reason, or (c) due to your death or Disability, in each case, if, and only if, you execute (or, if applicable, your legal representative or estate executes) a general release of claims in favor of the Company and its affiliates containing customary terms and conditions for the release of employment-related claims, and such release becomes irrevocable, within 60 days... following your termination of employment, in which case the effective date of the Qualifying Termination will be deemed to have occurred on your date of termination of employment. Qualifying Termination. A Change in Control Termination or any other Involuntary Termination Without Cause.

Qualifying Termination. Your employment is terminated without Cause (excluding by reason of your death or Disability) by the Company or by you for Good Reason (each, a Qualifying Termination).

Qualifying Termination. A termination of your Continuous Service (as defined in the 2015 Plan) either (x) by the Company without Cause or (y) by you with Good Reason. Qualifying Termination. Means a Qualifying CIC Termination or a Qualifying Non-CIC Termination.

Qualifying Termination. Shall mean, with respect to any Participant, the Participant's termination of Continuous Service (i) due to the Participant's death; (ii) by any member of the Company Group due to the Participant's Disability; (iii) by any member of the Company Group without Cause; (iv) by the Participant for Good Reason; or (v) due to the Participant's Retirement.

Qualifying Termination. Means a termination of the Executive's employment (i) by the Company without Cause (other than by reason of the Executive's death or Disability) or (ii) by the Executive for Good Reason. For clarity, a "Qualifying Termination" does not include a termination pursuant to Section 3(d).

Qualifying Termination. Means (a) the termination of Executive's employment due to either termination by the Employer without Cause or by Executive for Good Reason and (b) Executive's final day of employment occurs on or after the occurrence of a Change in Control but prior to the second anniversary of such Change in Control. The date of the Qualifying Termination is the date that such final day of employment occurs. -4-

Qualifying Termination. Means the termination of your employment as a result of (i) your death, (ii) your Disability, (iii) the Company or any of its affiliates terminating your employment without Cause, or (iv) your resignation for Good Reason.
