Example Definitions of "Qualifying Termination"
Qualifying Termination. A termination of Executive's employment (i) by the Company other than for Cause or on account of death, Disability or Retirement or (ii) by Executive for Good Reason; provided, that no termination will be treated as a Qualifying Termination unless it constitutes a "separation from service" within the meaning of Section 409A of the Internal Revenue Code of 1986, as amended, and applicable Treasury Regulations and Internal Revenue Service guidance issued thereunder.
Qualifying Termination. Shall mean: (i) the occurrence of a Change in Control and, (A) on or within thirty (30) days thereafter, your employment is terminated for any reason by the Company or you or (B) within twelve (12) months thereafter your employment is terminated by (1) the Company (or its successor) for any reason other than death, disability or Cause or (2) you for Good Reason; or (ii) any time prior to the occurrence of any Change in Control, your employment is terminated by (A) the Company for any reason... other than for death, Disability or Cause or (B) you for Good Reason. Qualifying Termination. Means the termination of a Participant's employment by the Company other than for Cause or by a Participant for Good Reason, which termination occurs during a Termination Period.
Qualifying Termination. Has the meaning ascribed thereto in a Participant's employment agreement with the Company.
Qualifying Termination. A termination of Executive's employment (i) by the Company other than for Cause, including by the Company providing notice of nonrenewal of this Agreement or (ii) by Executive for Good Reason.
