Qualifying Termination

Qualifying Termination. Your status as an Employee, Director or Consultant, as applicable, is terminated: (a) due to your death; (b) due to your Disability; (c) due to your Retirement; (d) by the Partnership, Company or their Affiliates, as applicable, within two years following a Change in Control, for any reason other than for Cause; or (e) by you for Good Reason.

Qualifying Termination. Your employment with the Partnership and its Affiliates is terminated: (a) due to your death; (b) due to your Disability; or (c) by you for Good Reason.

Qualifying Termination. Means that you experienced a Separation from Service from the Company due to your employment being terminated either because the Company terminated your employment without Cause or because you resigned your employment for Good Reason in accordance with this Agreement. For avoidance of doubt, a Separation from Service due to your death or Disability shall not constitute a Qualifying Termination.

Qualifying Termination. During the twelve-month period commencing on the closing date of a Change in Control, a Participant's Separation from Service due to (i) the Participant's involuntary dismissal or discharge by the Company (or any Successor Corporation), for a reason other than death, disability or Cause, or (ii) a Participant's Resignation for Good Reason

Qualifying Termination. (i) a termination by Executive of Executive's employment with Company for Good Reason within two years after the occurrence of a Change in Control, or (ii) a termination of Executive's employment without Cause by the Company within two years after the occurrence of a Change in Control. Neither a termination of Executive's employment due to Permanent Disability nor a termination of Executive's employment due to death shall constitute a Qualifying Termination.

Qualifying Termination. That (i) your last day employment with the Company (the "Termination Date") occurred on or within 12 months after a Change in Control and (ii) that your termination in clause (i) was because the Company terminated your employment without Cause or because you resigned your employment for Good Reason in accordance with Section 2(c).

Qualifying Termination. The termination of Employee's employment (i) by the Company without Cause or (ii) by Employee for Good Reason. For purposes of clarification only, a termination of Employee's employment by Employer for Cause, by Employee without Good Reason, or by reason of Employee's death is not a Qualifying Termination. The Company then shall have 30 days to remedy the Good Reason condition(s). If not remedied within that 30-day period, Employee may submit a written notice of termination to the Company; provided that the notice of termination invoking Employee's right to terminate employment for Good Reason must be given no later than 10 days after the end of such 30-day remedy period.
