Example Definitions of "Qualifying Termination"
Qualifying Termination. Shall have the same meaning given in the SMA.
Qualifying Termination. Executive's termination of employment with the Company: (i) by the Company other than for Cause and other than a Performance Termination, or (ii) by Executive for Good Reason. 'Qualifying Termination' does not include Executive's death or termination due to Executive being Disabled
Qualifying Termination. Means a termination from Service initiated by the Company without Cause (as defined in the Employment Agreement), initiated by Participant with Good Reason (as defined in the Employment Agreement), or a termination from Service because of Participant's death or Disability. Participant's voluntary resignation from Service without Good Reason or the termination of Participant's Service for Cause will not constitute a Qualifying Termination.
Qualifying Termination. The involuntary termination of a Participant, not for Cause.
Qualifying Termination. Means a termination of Grantee's status as a Service Provider by reason of (i) Grantee's death, (ii) a termination by the Company, the Partnership or any Subsidiary due to Grantee's disability, (iii) a termination by the Company, the Partnership or any Subsidiary other than for Cause, or (iv) a termination by Grantee for Good Reason.
Qualifying Termination. During the Term of the Agreement, (i) a termination by the Employee of the Employee's employment with Parent for Good Reason within two years after the occurrence of a Change in Control or (ii) a termination of the Employee's employment without Cause by Parent within two years after the occurrence of a Change in Control, or (iii) a termination of the Employee's employment without Cause by Parent prior to the occurrence of a Change in Control when the transaction that results in the Change in... Control is initiated prior to such termination, as indicated by a Letter of Intent or as otherwise determined by the Compensation Committee, and is subsequently consummated within 180 days following such termination. Qualifying Termination. The term 'Qualifying Termination' shall mean any of the following terminations of employment that do not qualify as a Change of Control Termination: (i) The Company terminates Executive's employment without Cause during the Term; or (ii) Executive voluntarily terminates his employment with the Company for Good Reason (following the applicable notice and cure period requirements specified in Section 20(c)), which termination becomes effective during the Term.
