Qualifying Termination

Qualifying Termination. You will experience a "Qualifying Termination" if, during the Retention Period, (1) the Company terminates your employment involuntarily without Cause, (2) you terminate your employment with Good Reason, or (3) your employment terminates on account of your death or Disability.

Qualifying Termination. Shall mean a Participant's termination of Employment (i) by the Company without Cause or (ii) by the Participant for Good Reason, in either case during the two (2)-year period following a Change in Control.

Qualifying Termination. Means a termination of the Executive's employment by the Company without Cause or by the Executive for Good Reason.

Qualifying Termination. Means (i) a termination of a Participant's employment by the Employer other than for Cause during the two-year period following a Change in Control or (ii) a termination of a Participant's employment by such Participant for Good Reason during the two-year period following a Change in Control. Qualifying Termination. Means either (i) a Non-Change in Control Termination, or (ii) a Change in Control Termination. Termination of employment due to death or disability is not a Qualifying Termination.

Qualifying Termination. Qualifying Termination. An Anticipatory Termination or a termination of Executive's employment following a Change in Control and during the Term either (i) by the Company without Cause or (ii) by the Executive for Good Reason
