Restricted Shares

Restricted Shares. The shares of Stock issued to Grantee on the terms set forth in this Agreement, the Notice of Grant, and the Plan

Restricted Shares. All of the Shares being purchased by the Grantee on the date hereof, provided that on each of the dates listed below, the respective number of Shares indicated below shall become Vested Shares if Grantee remains an employee of the Company or any of the Subsidiaries on each such date.

Restricted Shares. Common Shares granted or sold pursuant to Section 6 of this Plan as to which neither the substantial risk of forfeiture nor the restrictions on transfer referred to in such Section 6 has expired. Restricted Shares are not subject to Management Objectives specified by the Committee

Restricted Shares. Means Shares granted to a Qualifying Director under Section 5, subject to a risk of forfeiture and restrictions on transfer for a specified period as provided in Section 6.

Restricted Shares. Restricted Share ("Shares") means a share of Common Stock issued to a Participant under the Plan subject to such terms and conditions, including without limitation, forfeiture or resale to the Company, and to such restrictions against sale, transfer or other disposition, as the Committee may determine at the time of issuance.

Restricted Shares. Means shares of Common Stock awarded to or sold to a Participant subject to the terms and conditions of the Plan, consisting of shares issued to a Participant in connection with the merger and related transactions by which MSCP initially acquired a majority of the capital stock of the Company.

Restricted Shares. Mean shares of Common Stock awarded to a Participant subject to the terms and conditions of the Plan under Section 9, the rights of ownership of which are subject to restrictions prescribed by the Compensation Committee.

Restricted Shares. Means Common Shares granted or sold pursuant to Section 6 of this Plan as to which neither the substantial risk of forfeiture nor the restrictions on transfer referred to in Section 6 hereof has expired.

Restricted Shares. The Reserved Shares granted to an Eligible Person which are subject to Restrictions; provided, further, that the Committee may, in its sole discretion, determine that the Restrictions which otherwise would have been imposed have been fully satisfied on the Date of Grant by reason of prior service and/or other considerations, and thus provide that such Restricted Shares shall be fully Vested on the Date of Grant

Restricted Shares. The grant of Time Restricted Stock, Time Restricted Preferred Stock and Restricted Stock in Respect of Warrants described in Section 2.
