Securities

Securities. Shall mean the Company's Variable Rate Cumulative Preferred Stock, Series B.

Securities. Shall mean, collectively, the 6.50% Notes due 2007 and the 7.20% Notes due 2012 of the Company to be issued and sold to the Purchasers, and securities issued in exchange therefor or in lieu thereof, respectively, pursuant to the Indenture, unless expressly stated herein to refer to either or each such series individually or the context so requires.

Securities. Means all Common Stock and Preferred Stock of the Company, all options, warrants, convertible notes, rights of conversion and other rights to acquire stock of the Company, and all shares issuable upon exercise or conversion of the Preferred Stock, options, warrants, convertible notes, rights of conversion and other rights to acquire stock of the Company, whether or not then currently vested, exercisable or convertible, excluding only the Option.

Securities. Shall mean the shares of Common Stock or ---------- Preferred Stock issued, as the case may be, upon conversion of any principal or accrued interest evidenced by any Note or upon exercise of any Warrant (as defined below).

Securities. The $.01 par value common stock of the Company and any other securities into which or for which any of the securities described in this paragraph may be converted or exchanged pursuant to a plan of recapitalization, reorganization, merger, or other like transaction.

Securities. Shall mean the Shares, the Notes, the Warrants, shares of Common Stock issuable upon conversion of the Shares and exercise of the Warrants and shares of Preferred Stock issuable upon conversion of the Notes; provided, that for purposes of Section 7 (other than Section 7.1 and 7.2) "Securities" shall not include the Notes.

Securities. Shall mean, collectively, the 8.625% Senior Notes due 2008 of the Company to be issued and sold to the Purchaser, and securities issued in exchange therefor or in lieu thereof pursuant to the Indenture.

Securities. Means any corporate stock (including stock of closely held corporations), partnership interest or limited liability company interest, any warrants or rights to acquire a security, and in addition, includes all property included in the definition of "security" as used in the Code.

Securities. Means the Conversion Shares issued or issuable upon conversion of the Preferred Stock and any shares of capital stock issued or issuable with respect to the Conversion Shares or the Preferred Stock as a result of any stock split, stock dividend, recapitalization, exchange or similar event.

Securities. Means the Preferred Securities and the Common Stock, ---------- individually and collectively.
