Shares

Shares. Means the shares of Common Stock issued and issuable upon conversion of the Company's shares of its Series A Preferred Stock sold pursuant to the Purchase Agreement and Class Y Warrants.

Shares. Shares. Means the Common Stock issued by the Company to Hercules pursuant to Sections 2.4, 2.5(a)(v) and 2.11 of the A/R Loan Agreement from time to time.

Shares. The number of shares of Common Stock issuable pursuant to this Section (the "Shares") shall be subject to adjustment pursuant to Section 7.

Shares. Shall mean shares of common stock, $0.01 par value per share, of the Company and any other shares of equity securities that are substituted for the Shares pursuant to a stock split, reclassification, distribution of equity securities on Shares, reverse stock split, merger, consolidation or other transaction.

Shares. Shall mean (i) the shares of Series A-1 Preferred held by the Investors and their permitted assigns, and (ii) the shares of Series A-1 Preferred issuable upon the exchange of the Class A-1 Exchangeable Shares held by the Investors and their permitted assigns.

(i) all shares of Company Common Stock, Company Preferred Stock and other voting securities of Company owned, beneficially or of record, by the Stockholder as of the date hereof, (ii) all additional shares of Company Common Stock, Company Preferred Stock and other voting securities of Company acquired by the Stockholder, beneficially or of record, during the period commencing with the execution and delivery of this Agreement and expiring on the Expiration Date, and (iii) such other shares of... Shares. Means the shares of the Company's Common Stock issuable upon conversion of the Convertible Preferred Stock. 11 "Special Committee" means the existing Special Committee of the Company's Board of Directors.

Shares. Means the common stock, $.01 par value, of the Company and shall include common stock as it may be changed from time to time as described in Section 11 hereof.
