Sublicensee

Sublicensee. Means any person, company or other entity granted a sublicense by Licensee under Paragraphs 2.B. or 2.C. below, as the case may be, including Affiliates of the Sublicensee.

Sublicensee. Shall mean any permitted sublicensee of all or part of the rights granted Licensee under Section 5.1, as further described in Section 5.2.

Sublicensee. Shall mean any person, company or other entity granted a Sublicense by LICENSEE, including Affiliates of the Sublicensee.

Sublicensee. Shall mean any Third Party to whom Licensee grants a sublicense of some or all of the rights granted to Licensee under this Agreement pursuant to the terms set forth in Section 2.3 below.

Sublicensee. Means any Third Party to which Aurion has granted a sublicense under the Licensed Patent Rights to offer for sale, sell, have sold, distribute or otherwise commercialize a Licensed Product. Notwithstanding the foregoing, a wholesaler or reseller who is not responsible for marketing or promoting a Licensed Product shall not be deemed a Sublicensee for purposes of this Agreement with respect to such Licensed Product.

Sublicensee. Means any Third Party, including a co-promotion or co-marketing partner, to whom Alimera or any of its Affiliates grants a sublicense of the licenses and rights granted by EyePoint US or EyePoint under the Collaboration Agreement or the Product Rights Agreement, respectively, to sell or offer to sell a FAc Product.

Sublicensee. Shall mean any third party to whom Licensee or a Sublicensee grants a sublicense or similar rights with respect to any of the rights conferred upon Licensee under this Agreement, as contemplated by Section 2.2.

Sublicensee. Shall mean any person or entity, except an AFFILIATE, sublicensed by COULTER under this Agreement to make, have made, use, market or sell LICENSED PRODUCTS.

Sublicensee. Means any person, company or other entity granted a sublicense by Licensee under Paragraph 2. B. below, including Affiliates of the Sublicensee.
