Sublicensee

Sublicensee. Any person or entity, including Affiliates, to which a Party or such Party's sublicensee grants a sublicense under the intellectual property rights licensed to such Party under this Agreement (a) to perform any portion of such Party's activities under the Research Program in accordance with Section 2.11, (b) to research and/or develop a Product, or (c) to make, have made, use, sell, offer for sale and/or import a Product (which, for the purposes hereof, will include the right to distribute,... market, or promote a Product). Sublicensee. The same as set forth in the License Agreement, but shall also include any licensee of Assignee of the Licensed Subject Matter or Patent Rights after the Effective Date of this Assignment Agreement

Sublicensee. Any third party to whom Licensee has granted a sublicense under the Patent Rights to make and sell Licensed Products or use a Licensed Process.

Sublicensee. A Third Party to whom Company or any of its Affiliates grants an express license or sublicense under Research Program Intellectual Property Rights to develop or commercialize Products, provided that the term "Sublicensee" does not include any wholesaler or third party distributor who resells a Product purchased from Company or any of its Affiliates or other Sublicensees in final finished form (but not necessarily final packaged and labeled form)

Sublicensee. Any person or entity, other than an Affiliate, sublicensed by LICENSEE under this Agreement to make, have made, use, import, offer for sale or sell, in the Territory, Processes and/or Products designed and marketed for use in the Field of Use.

Sublicensee. Means any sublicensee(s) of the rights granted to Licensee under this Agreement.

Sublicensee. A person or entity to which Aspen has granted a sublicense under the license rights granted to Aspen in Article 3 of this Agreement.

Sublicensee. Any Affiliate or Third Party to whom GSK grants a sublicense of any of the license rights granted to GSK pursuant to the terms and conditions of the License Agreement.

Sublicensee. Any sublicensee of any of the rights granted to a Party under this Agreement, other than an Affiliate or a Distributor.
