Termination Date

Termination Date. The date of Termination of a Participant. The Committee will have sole discretion to determine the Termination Date of a Participant.

Termination Date. Means the date that Executive experiences a Qualifying Termination.

Termination Date. The latest of (i) December 31, 2021; or (ii) such date prescribed by the Tax Act until which the Company may incur (or be deemed to incur) ITC-eligible Expenditures and renounce them to the Purchasers in accordance with the terms of the Subscription Agreements with an effective date no later than December 31, 2020;

Termination Date. Means the earlier to occur of (i) the Effective Time, (ii) the termination of the Merger Agreement in accordance with its terms, (iii) the date on which any amendment to the Merger Agreement is effected, or any waiver of Lafite's rights under the Merger Agreement is granted, in each case, without the Stockholders' prior written consent, that (A) diminishes the Merger Consideration to be received by the stockholders of Lafite, (B) changes the forms of Merger Consideration payable to the... stockholders of Lafite, (C) extends the End Date (as defined in the Merger Agreement) or imposes any additional conditions or obligations that would reasonably be expected to prevent or impede the consummation of the Merger, or (D) affects any of the other material terms of Article 2 (The Merger), Section 6.02 (Lafite Takeover Proposals; Lafite Adverse Recommendation Change), Section 7.05 (Director and Officer Liability), Section 8.07 (Tax Treatment), Article 9 (Conditions to the Merger) or Article 10 (Termination) of the Merger Agreement in a manner that is materially adverse to any of the Stockholders, (iv) the date upon which the Tempranillo Board or any committee thereof makes a Tempranillo Adverse Recommendation Change, and (v) the date upon which the Lafite Board or any committee thereof makes a Lafite Adverse Recommendation Change. Termination Date. With respect to any Participant who is a Canadian resident, subject to any minimum applicable requirements contained in applicable employment standards legislation, the earlier of: (i) if the eligible employee's employment is terminated by the Designated Entity for any reason (whether lawful or unlawful), the earlier of (a) the date designated, if any, by the Designated Entity as the date on which the eligible employee's employment ceases, or (b) the eligible employee's last day of actual and... active employment with the Designated Entity, whether such day is selected by agreement with the eligible employee or unilaterally by the Designated Entity or otherwise; and, for the avoidance of doubt, in case of either (a) or (b), without regard to any period of notice of termination, pay in lieu of notice of termination, severance pay or other damages paid or payable to the eligible employee, under contract or common law, in or in respect of a period which follows the eligible employee's last day of actual and active employment with the Designated Entity; (ii) if the eligible employee dies, the date of death; or (iii) if the eligible employee's employment is terminated by the eligible employee, the date on which the eligible employee provides notice of resignation to the Designated Entity; or (iv) if the Participant ceases to be an eligible employee for any reason not contemplated above, the date determined by the Company as the date the Participant ceases to be an eligible employee for purposes of the Plan. Termination Date. The effective date of termination provided in accordance with Section 7, in a notice from one party to the other.

Termination Date. Means (i) the date of the Executive's separation from service, within the meaning of the Code, or (ii) if the Executive's employment by the Company terminates by reason of death, the date of death, or disability, the date of disability.

Termination Date. The date on which an Eligible Executive has a "separation from service," within the meaning of Section 409A of the Code, from the Company or a subsidiary of the Company

Termination Date. (e) "Termination Date" shall mean the effective date of the termination of Executive's employment relationship with the Company.
