Termination

Termination. Means the termination of a Stockholder's employment with the Corporation for any reason whatsoever other than death or Disability, the Stockholder with respect to whom a Termination occurs is referred to as the "Terminated Stockholder." It is understood that the Termination provisions hereof shall not be applicable to non-employee stockholders.

Termination. Means the termination of the Merger Agreement for any reason, without the Mergers having been consummated.

Termination. Shall mean the date an Employee ceases to actively perform services for the Company.

Means any of (i) a discharge of the Executive, (ii) reduction in compensation of the Executive, (iii) the assignment of the Executive to any duties inconsistent in any material respect to the Executive's position (including status, offices, title and reporting requirements), authority, duties or responsibilities or (iv) requiring the Executive to be based at any office or location that is more than seventy-five (75) miles from Vineyard, Utah.

Termination. Occurs when an EMPLOYEE ceases to be employed by the CORPORATION as a common law employee, when a DIRECTOR ceases to be a member of the BOARD OF DIRECTORS or the Board of Directors of any parent corporation which may hereafter be established (as the case may be), or when the relationship between the CORPORATION and a CONSULTANT or other ELIGIBLE PARTICIPANT terminates, as the case may be.

Termination. Shall be deemed to have occurred upon the Company terminating the Executive's employment on or after a Changed Circumstance Date or the Executive terminating employment within 30 days after a Changed Circumstance Date pursuant to the terms of this Agreement.
