Termination. 9 (a) Termination of Agreement 9 (b) Effect of Termination

Termination. Termination for any reason of the Optionee's association with the Company as an employee, consultant, officer, and/or director, as the case may be; provided, however, that a transition from one type of aforementioned association to another without an intervening lapse in association shall not be a termination of the Optionee's association with the Company for the purposes of this Agreement.

Means termination of Executive's employment with the Employer following the Effective Date and prior to the end of the Employment Period either: (i) by the Employer, other than a Termination for Cause or a termination as a result of Executive's death or Disability; or (ii) by Executive for Good Reason.
