Termination

Termination. Termination of the Executive's employment with the Company and all of its Affiliates during the Term either: (i) by the Company, other than a Termination for Cause or a termination as a result of the Executive's death or disability; or (ii) by the Executive for Good Reason.

For purposes of this Plan with respect to a Participant, that the Participant has for any reason ceased to provide services as an employee, officer, director, consultant, independent contractor or advisor of the Company. Termination.
