Termination

Termination. Means resignation or discharge from employment with the Company or any of its Subsidiaries except in the event of death, Disability, or Retirement.

Notwithstanding the foregoing, the Committee will have sole discretion to determine whether a Participant has ceased to provide services and the effective date on which the Participant ceased to provide services (the "Termination Date").
