Example Definitions of "Termination"
Termination. Means the Participant ceasing to serve as a director, provided that if the Participant has become an employee of the Company it shall mean the later of ceasing to serve as a director and separation from service as an employee within the meaning of Treasury Regulation ยง 1.409A-1(h)).

Termination. The date on which a Director no longer serves on the Board for any reason, including but not limited to death, retirement, or resignation or removal from the Board, or is not nominated for re-election for any reason. In each instance, Termination shall satisfy the meaning of "separation from service" under Section 409A
