Total Disability

Total Disability. A medically determinable mental or physical impairment which is expected to result in death or which has lasted or is expected to last for a continuous period of 12 months or more and which causes the Optionee to be unable, in the opinion of the Company and two independent physicians, to perform his or her duties as an Employee, Director, Officer or Consultant and to be engaged in any substantial gainful activity. Total Disability. Normally have such meaning as that defined under the Company's group insurance plan covering total disability and determinations of Total Disability normally shall be made by the insurance company providing such coverage on the date on which the Employee, whether or not eligible for benefits under such insurance plan, becomes Totally Disabled. Total Disability. The absence of Executive from Executive's duties with Company on a full-time basis for ninety (90) consecutive business days as a result of incapacity due to mental or physical illness which renders Executive unable to perform the essential functions of his position and is determined to be total and permanent by a physician selected by Company and acceptable to Executive (such agreement as to acceptability not to be withheld unreasonably).

Total Disability. Means a determination of disability under any long-term disability plan sponsored by the Company, Subsidiary or Allied Enterprise in which the Participant participates.
