Example Definitions of "Total Disability"
Total Disability. Shall mean, as applied to the Participant, that (i) because of sickness or injury the Participant is not able to perform the major duties of the Participant's occupation, (ii) such total incapacity shall have continued for a period of six consecutive months and (iii) such total incapacity will, in the opinion of a qualified physician, be permanent and continuous during the remainder of the Participant's life. Total Disability. The Executive has failed to perform his regular and customary duties to the Corporation for a period of 180 days out of any 360-day period.
Total Disability. The failure of the Executive, after reasonable accommodation, to perform his duties for an aggregate period of 120 consecutive days during any 12 month period by reason of the Executive's physical or mental disability. The Company's obligation to pay the Base Salary to the Executive during such 120 consecutive day period shall be conditioned upon the Executive complying with all requirements under the Company's short-term and long-term disability insurance policies, as determined in the sole... discretion of the short-term and long-term disability insurance providers. Total Disability. That the Participant has become physically or mentally disabled so as to render the Participant incapable of performing the essential functions of his position (with or without reasonable accommodations) and such disability is expected to result in death or to last for a continuous period of at least twelve (12) months, provided that such condition constitutes a "disability" within the meaning of Code Section 409A.
