Transaction Documents

Transaction Documents. Shall mean this Security Agreement, the Purchase Agreement, the Notes and all other documents, instruments and agreements executed and delivered in connection herewith or therewith or in respect of the closing of the transactions contemplated hereby or thereby.

Transaction Documents. Shall mean this Agreement, the Notes, the Security Agreement and the Pledge Agreement.

Transaction Documents. The term "Transaction Documents" means, collectively, the LLC Agreement, (ii) the Securityholders Agreement and (iii) each of the other agreements, documents and instruments executed in connection with the Merger Agreement and the transactions contemplated thereby.

Transaction Documents. Means (i) this Agreement, (ii) the Merger Agreement, (iii) the Management Services Agreement, (iv) the Registration Agreement, dated as of the date hereof, between the Company and the Stockholders, (v) the Purchase Agreement, (vi) the Amended and Restated Certificate of Incorporation of the Company, (vii) the Employment Agreements, dated as of the date hereof, between the Company and certain Management Stockholders, and (viii) the Option Agreements.

Transaction Documents. Means (i) this Agreement, (ii) the Registration Rights Agreement, (iii) the Warrants, (iv) the Irrevocable Transfer Agent Instructions, (v) the Authorization Letter and (vi) all other agreements, documents and other instruments executed and delivered by or on behalf of the Company or any of its officers at the Closing.

Transaction Documents. Shall mean (a) this Debenture; (b) the Security Agreement; and (c) amendments, exhibits, and schedules to the foregoing.

Transaction Documents. Shall mean the Pooling and Servicing --------------------- Agreement, as amended and supplemented, including by each assignment document relating to the assignment of Receivables in Additional Accounts and each Supplement with respect to any Series issued and currently outstanding, and each Loan Agreement listed on Annex A attached hereto, as each such agreement has been amended and assumed to the date hereof.

Transaction Documents. Means this Agreement, and the Registration Rights Agreement Amendment, and each of the other agreements, documents, certificates and instruments executed and -4- delivered in connection with the foregoing.

Means (i) this Agreement, (ii) the Rights Agreement, (iii) the Investor Warrants, (iv) the January Bridge Note Conversion and Warrant Purchase Agreement, (v) the Debenture Conversion and Purchase and Warrant Cancellation Agreement, (vi) the Insider Indebtedness Conversion Agreement, (vii) the Officer and Director Warrant Purchase Agreement, (viii) the Company Warrant Repricing Agreement and (ix) the Other Warrants.
