Transaction Documents

Transaction Documents. Shall mean, collectively, this Agreement, the Escrow Agreement, the Secured Note, the Employment Agreements, the Consulting Agreement, the Lock-Up Agreement, the Put Right Agreement and any and all agreements, exhibits, schedules, certificates, instruments and other documents contemplated hereby or executed and delivered in connection herewith.

Transaction Documents. Shall mean this Security Agreement, the Note issued under the Purchase Agreement, and the Purchase Agreement.

Transaction Documents. Shall mean (i) the Equipment Lease, dated as of the date hereof by and between AEC-NM and the Guaranteed Party, (ii) the Operation and Maintenance Agreement (New Madrid), dated as of June 29, 2010, by and between the Guaranteed Party and CCSS, as amended by that certain Omnibus Amendment #2 to Transaction Documents, dated as of the date hereof, (iii) the Exchange Agreement, (iv) the Chemical Additives Supply Agency Agreement (New Madrid), dated as of June 29, 2010, by and between CCSS and the... Guaranteed Party, as amended by that certain Omnibus Amendment #2 to Transaction Documents, dated as of the date hereof, (v) the Technology Sublicense Agreement, dated as of June 29, 2010, among the ADA-ES, Inc., a Colorado corporation, the Guaranteed Party, and CCS, as amended by that certain Omnibus Amendment, dated, August 10, 2010 and as further amended by that certain Amendment to Technology Sublicense, dated as of the date hereof and (vi) Agreement to Lease, dated as of June 29, 2010, among CCS, AEC-NM, AEC-TH, LLC and the Guaranteed Party as amended by that certain Omnibus Amendment, dated, August 10, 2010. Transaction Documents. Means this Agreement and the Warrant.

Transaction Documents. Shall mean this Agreement, the Memorandum, the Notes, the Warrants, the Registration Rights Agreement, the Share Exchange Agreement, the Closing Escrow Agreement and the Securities Escrow Agreement.
