Voting Stock

Voting Stock. Means the Common Stock and any other security or securities the holders of which are entitled, other than as affected by events of default or the failure to pay dividends, to vote for the election of the members of the Board.

Voting Stock. Means issued and outstanding capital stock or other securities of any class or classes having general voting power, under ordinary circumstances in the absence of contingencies, to elect, in the case of a corporation, the directors of such corporation and, in the case of any other entity, the corresponding governing Person(s).

Voting Stock. With respect to a corporation, the capital stock of any class or classes of that corporation having general voting power under ordinary circumstances, in the absence of contingencies, to elect directors of such corporation and, with respect to any other entity, the securities of that entity having such general voting power to elect the members of the managing body of that entity.

Voting Stock. Means, with respect to any corporation, any shares of stock of such corporation whose holders are entitled under ordinary circumstances to vote for the election of directors of such corporation (irrespective of whether at the time stock of any other class or classes shall have or might have voting power by reason of the happening of any contingency).

Voting Stock. Of any Person means Capital Stock of such Person which ordinarily has voting power for the election of directors (or persons performing similar functions) of such Person, whether at all times or only so long as no senior class of securities has such voting power by reason of any contingency.

Voting Stock. Means shares of stock, units or interest of a Person having ordinary voting power to elect the board of directors or other managers of such Person.

Voting Stock. Means the capital stock of the Corporation (or any successor) that is at the time entitled to vote in the election of the Board (without regard to the occurrence of any contingency).

Voting Stock. Shall mean capital stock (or similar security) of any class or classes having general voting power under ordinary circumstances, in the absence of contingencies, to elect the directors of a corporation or similar managers of another entity.

Voting Stock. With reference to any corporation, stock of any class or classes (or equivalent interests), if the holders of the stock of such class or classes (or equivalent interests) are ordinarily, in the absence of contingencies, entitled to vote for the election of the directors (or Persons performing similar functions) of such corporation, even though the right so to vote has been suspended by the happening of such a contingency.

Voting Stock. Shall mean all classes of Equity Interests of any Foreign Corporation entitled to vote.
