Disability

Disability. Means a disability of Executive which renders Executive unable to perform the full extent of his duties and responsibilities by reason of his illness or incapacity which would entitle that person to receive Social Security Disability Income under the Social Security Act, as amended, and the regulations thereunder. "Disabled" shall mean having a Disability. The determination of whether Executive is Disabled shall be made by the Board, whose determination shall be conclusive.

Disability. The participant's absence from the full-time performance of the participant's duties (as they existed immediately prior to such absence) for a period of time longer than one hundred eighty (180) days within a three hundred sixty-five (365)-day rolling calendar, when the participant is disabled as a result of incapacity due to physical or mental illness or serious injury

Disability. Employee's inability with or without accommodation to perform, for a period greater than twelve (12) consecutive weeks, the essential functions of the position by reason of permanent mental or physical disability, whether resulting from illness, accident or otherwise

Disability. Total and permanent disability, as defined under Applicable Laws, i.e., a disability as determined in categories 2 and 3 under Section L. 341-4 of the French Social Security Code, as amended.

Disability. Unless otherwise defined in the applicable Award Agreement, a disability that would qualify as a total and permanent disability under the Company's then current long-term disability plan. Notwithstanding the foregoing, with respect to any Award that constitutes a nonqualified deferred compensation plan within the meaning of Section 409A, Disability has the meaning set forth in Section 409A.

Disability. Shall mean such total and permanent physical or mental disability as, in the Administrator's sole and absolute discretion, would prevent the Participant from engaging gainful performance of duty on behalf of the Company. Where Participant is insured under a life insurance policy containing a "waiver of premium" benefit and for which premiums are paid by the Company, then disability shall be defined as provided for under such insurance policy.

Disability. Shall mean that, as a result of Executive's incapacity due to physical or mental illness, he shall have been absent from the full-time performance of his duties for six consecutive months and he shall not have returned to full-time performance of his duties within thirty days after written notice of termination is given to Executive by the Company (provided, however, that such notice may not be given prior to thirty days before the expiration of such six-month period).
