Effectiveness Date

Effectiveness Date. Means the earlier of (i) the date that is one hundred and fifty (150) days following the Closing Date, provided that such date shall be tolled for the duration of any Blackout Period, and (ii) the effective date of a registration statement relating to a Qualified Offering (as such term is defined in the Series C Certificate of Designation).
