Effectiveness Date

Effectiveness Date. Means, with respect to the Registration Statement, the 180th day following the Demand Date.

Effectiveness Date. Means, with respect to a Registration Statement, in the case of a Closing, the earlier of the 120th day following the execution of the Purchase Agreement (or if such date is not a Business Day, the next Business Day) and the fifth (5th) Business Day after the date the Company is notified by the Commission that such Registration Statement will not be reviewed.
