Effectiveness Date

Effectiveness Date. Means, with respect to the Registration Statement required to be filed hereunder, the earlier of (a) the 120th calendar day following the Closing Date of the Purchase Agreement, and (b) the fifth Trading Day following the date on which the Company is notified by the Commission that the Registration Statement will not be reviewed or is no longer subject to further review and comments and there is no prohibition under the Instructions to Item... 7 of Form 8-K on declaring the Registration Statement effective. Effectiveness Date. Means (i) with respect to the initial Registration Statement required to be filed hereunder, a date no later than August 15, 2006 and (ii) with respect to each additional Registration Statement required to be filed hereunder, a date no later than thirty (30) days following the applicable Filing Date.
