Major Investor

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds (i) at least 3,000,000 shares of Registrable Securities after the Initial Closing (as defined in the Purchase Agreement) (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof), or (ii) at least 1,000,000 shares of Series D Preferred Stock or an equivalent number of shares of Common Stock issued upon conversion thereof (as... adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof). Major Investor. Means (i) any Investor that, individually or together with such Investor's Affiliates, holds at least 1,000,000 shares of Registrable Securities (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof) and (ii) for the purposes of Section 4 only, TSRI.

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds at least 209,381 Series A Preferred Units.

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds at least 7,736,917 shares of Registrable Securities (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof); provided, however, that (i) GSK shall be considered a "Major Investor" for purposes of Section 4 only for so long as GSK, together with GSK's Affiliates, holds at least 4,539,867 shares of Common Stock issuable or... issued upon conversion of Series AA Preferred Stock (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof) and the Board of Directors has not reasonably determined that GSK is a Competitor, and GSK shall not be considered a "Major Investor" for any other purpose under this Agreement; and (ii) AstraZeneca shall be considered a "Major Investor" for so long as AstraZeneca, together with AstraZeneca's Affiliates, holds at least 1,227,102 shares of Common Stock issuable or issued upon conversion of Series C Preferred Stock (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof). Major Investor. Shall mean each Investor who holds at least 324,953 Securities (subject to appropriate adjustment for stock splits, stock dividends, combinations, and other recapitalizations).

Major Investor. Any Investor that, individually or together with such Investor's Affiliates, holds at least 4,329,004 shares of Preferred Stock (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof). Notwithstanding the foregoing, Baker Bros. shall be deemed to be a Major Investor.

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds at least 1,500,000 shares of Registrable Securities (as adjusted for any stock split, stock dividend, combination or other recapitalization or reclassification effected after the date hereof) that is not a competitor (as reasonably determined by the Board).

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds at least $3.0 million of Registrable Securities (based on the aggregate original purchase price of such Registrable Securities); provided that ARNA shall also be deemed a Major Investor solely for the purposes of Section 4 and Section 6.6.

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds at least 329,000 shares of Registrable Securities (subject to appropriate adjustment in the event of any stock dividend, stock split, combination or other similar recapitalization) and each Person to whom any of the rights of any Investor are assigned pursuant to Section 6.1.

Major Investor. Means any Investor that, individually or together with such Investor's Affiliates, holds at least (i) 2,000,000 shares of Series A Preferred Stock and/or Series B Preferred Stock (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof); or (ii) 8,000,000 shares of Series C Preferred Stock (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after... the date hereof). Notwithstanding the foregoing, Y Combinator Continuity Fund I, L.P. and YCVC Fund I, L.P. shall each be considered a Major Investor for the purposes of the right of first offer set forth in Section 4 hereof.
