Permanent Disability. Means that Executive, as determined by the Board in its good faith judgement, is unable to perform, by reason of physical or mental incapacity, his duties or obligation under this Agreement, for a period of ninety (90) consecutive days or a total period of one hundred twenty (120) days in any three hundred sixty- five (365) day period.
Permanent Disability. Means, with respect to an Optionee, the "permanent and total disability" as set forth in Section 22(e)(3) of the Code and an inability to perform duties and services as an officer, director, employee or consultant of the Company or an Affiliate by reason of a medically determinable physical or mental impairment (as such duties and services were performed prior to such impairment), supported by medical evidence, which can be expected to last for a continuous period of not less than eight (8)... months.
