Qualifying Termination. (i) a termination by the Participant of the Participant's employment with Company for Good Reason, or (ii) a termination of the Participant's employment without Cause by the Company. Neither a termination of the Participant's employment due to Permanent Disability nor a termination of the Participant's employment due to death shall constitute a Qualifying Termination.
