Qualifying Termination

Qualifying Termination. A Separation resulting from (x) the Company terminating Executive's employment for any reason other than Cause or (y) Executive voluntarily resigning his or her employment for Good Reason.

Qualifying Termination. A termination of employment eligible to receive benefits under the Company's Severance Guidelines or Executive Severance Guidelines in accordance with the terms and conditions of such guidelines as may be amended from time to time

Qualifying Termination. Means (i) a Qualifying Retirement or (ii) the termination of the Optionee's Employment as Chief Executive Officer of Michaels Stores, Inc. for any reason other than by the Company or Michaels Stores, Inc. for Cause (or in a circumstance where Cause exists).

Qualifying Termination. (g) "Qualifying Termination" means a Separation from Service by action of the Company that is not for Cause, or a Separation from Service by action of the Executive that is for Good Reason.

Qualifying Termination. Means Executive's termination of employment with the Company by the Company without Cause or by Executive for Good Reason. For the avoidance of doubt, in no event shall Executive be deemed to have experienced a Qualifying Termination as a result of (i) Executive's death or Disability, (ii) Executive's resignation from employment with the Company for any reason other than for Good Reason, or (iii) Executive's termination of employment by the Company for Cause.

Qualifying Termination. A termination of the Services by SciPlay and its subsidiaries without Cause or by Pinson for Good Reason.

Qualifying Termination. Means a termination of the Participant's employment and service with GRECO and its Subsidiaries (or any successors thereto) by reason of (i) the Participant's death, (ii) a termination due to the Participant's Disability, (iii) an involuntary termination by the Company, GRECO or any of their Subsidiaries other than for Cause, or (iv) a voluntary termination by the Participant for Good Reason.

Qualifying Termination. With respect to a Participant

Qualifying Termination. (i) the involuntary termination of your employment by the Company (other than for Cause) or (ii) the voluntary termination of your employment with the Company for Good Reason. Qualifying Termination. Termination of an Eligible Employee's employment with the Company that is either (i) initiated by the Company without Cause or (ii) initiated by the Eligible Employee for Good Reason. Termination due to death or disability shall not be treated as a Qualifying Termination. In addition, if, prior to a Change in Control, the Company determines after an Eligible Employee's Date of Termination that the Eligible Employee's employment could have been terminated for Cause, the Eligible Employee's... termination shall not be treated as a Qualifying Termination and the Eligible Employee shall reimburse the Company for all Severance Payments and Benefits previously paid under the Plan.
