Example Definitions of "Restricted Period"
Restricted Period. Means the period from the date of this Agreement until 11:59 p.m., Pacific time, on the Deadline. However, if (i) the Board (in its sole discretion) offers to nominate the New Director for election as a director at the 2025 Annual Meeting (which offer must be in writing and made no later than 11:59 p.m., Pacific time, on the date that is 10 days prior to the Deadline) and (ii) the New Director accepts such nomination prior to the Deadline, then, notwithstanding anything to the contrary in this...
